and negotiating and documenting the terms and conditions of the purchase. The firm
will also represent you in obtaining financing. The firm will prepare all documents
necessary to transfer the assets or stock of the practice in a manner that will
protect your legal interests including the letter of intent, asset purchase agreement
or stock purchase agreement, closing statement, bill of sale, stock power, promissory
notes, security agreements, deeds, mortgages, financing statements, resolutions,
resignations of officers and directors, employment agreements, consulting agreements,
non-competition agreements, etc.
